Uploadcare Referral Program Terms and Conditions

These Terms and Conditions (the “Agreement”) govern participation in the Uploadcare Referral Program (the “Program”) offered by Uploadcare Inc, (“Uploadcare”, “we”, “us”, or “our”). By participating in the Program, you (“you”, “your”, or “Referrer”) agree to comply with all terms set forth herein.
1. Program Overview
The Program allows eligible individuals to earn commission by referring new paying customers to Uploadcare using a unique referral link provided via the Rewardful platform. When a referred user subscribes to Uploadcare through your referral link and meets the requirements set forth in this Agreement, you may earn a commission equal to ten percent (10%) of the referred customer’s payments to Uploadcare for a period of up to twelve (12) months from the date of the initial purchase.
2. Eligibility
To be eligible to participate in the Program, you must be at least eighteen (18) years of age, capable of forming legally binding agreements, and not an employee, agent, or representative of Uploadcare unless explicitly authorized in writing. You must have a valid Rewardful account and agree to abide by its terms of service. Participation is void where prohibited by law. Uploadcare reserves the right to verify your eligibility and to deny or revoke participation at its sole discretion.
3. Qualified Referrals
A “Qualified Referral” is a new customer who accesses Uploadcare via your unique Rewardful referral link, completes a subscription to a paid plan, provides full and valid payment, and is not associated with your organization or it is not a self-referral. A 60-day conversion window (cookie duration) applies. This means the referred party must complete their sign up to Uploadcare within sixty (60) days of clicking your link for the referral to be eligible.
4. Commissions and Payment
If a Qualified Referral is confirmed, you will earn a commission equal to ten percent (10%) of the referred customer’s actual payments to Uploadcare, excluding refunds, chargebacks, taxes, and transaction fees. Commissions accrue for a maximum of twelve (12) months from the referred customer's initial payment date. Commissions are due 30 days after they are generated. Payouts are issued monthly via PayPal and are subject to Rewardful’s minimum payout thresholds, processing timelines, and tax documentation requirements. Uploadcare reserves the right to withhold or cancel commissions for fraudulent, duplicate, or otherwise ineligible referrals.
5. Restrictions and Acceptable Use
You agree not to engage in any activity that is fraudulent, unethical, or unlawful, including but not limited to self-referrals, impersonation, use of spam or unsolicited messaging, misleading promotions, or unauthorized paid advertising that uses Uploadcare trademarks or domain names. You may not misrepresent Uploadcare’s offerings, pricing, or benefits. Uploadcare reserves the right to investigate suspected abuse and terminate or suspend your participation without prior notice.
6. Program Modifications and Termination
Uploadcare reserves the right to modify, suspend, or terminate the Program or this Agreement at any time, with or without notice. Changes may include adjustments to commission rates, payment terms, eligibility requirements, or payout schedules. Continued participation in the Program following such modifications constitutes acceptance of the updated terms.
7. No Employment Relationship
This Agreement does not create any employment, agency, partnership, or joint venture between you and Uploadcare. You may not bind or represent Uploadcare in any capacity.
8. Limitation of Liability
To the fullest extent permitted by law, Uploadcare shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to your participation in the Program. Uploadcare’s total liability to you shall not exceed the amount of commissions actually paid to you under this Program during the six (6) months preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless Uploadcare and its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including attorneys’ fees) arising out of or related to your participation in the Program or your violation of these terms.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law rules. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Delaware, and you hereby consent to the jurisdiction and venue of such courts.
